TRANSACTIONAL WORK
The regulatory aspects of corporate M&A transactions can often be complex, time-consuming, and uncertain in outcome. We manage the entire process to provide greater certainty to our clients.

We are accustomed to advising clients on all aspects of merger control filings (Danish, EU or multi-jurisdictional) and the ancillary competition law aspects that often arise in M&A transactions, including non-disclosure and clean team strategic partnership agreements and other types of cooperation agreements.

We also advise on foreign direct investments and the notification requirements and the related procedures.

REGULATORY
We represent clients before national authorities and administrative organisations on a broad array of legislative, regulatory, and administrative issues.

Our advice is based on a value-adding “no nonsense” approach, where we aim to find the best possible solution for the specific regulatory issue at hand considering the commercial reality and requirements of our clients.

We advise on cartel proceedings, dawn raid inspections and criminal proceedings. We have experience from a significant number of competition law cases, including criminal proceedings and we are seasoned experts in dealing with competition authorities across several jurisdictions. 

We also advise on compliance and governance-related issues, including within financial services, where we are able to build on our previous and significant in-house experience. As a result, we know what moves the needle – both as external and internal advisors.

EXPORT CONTROL AND TRADE SANCTIONS
We advise on export control and trade sanctions and with our background from a globally based law firm and other top-tier law firms, we are able to draw on our international network of well-reputed trade-sanction lawyers.

Previous experience within this area includes advising US and international suppliers of defence-related equipment or dual-use products on the Danish export control and trade sanctions regime. 

PUBLIC PROCUREMENT
We have considerable experience advising clients on procurement law issues and have represented several companies before the Danish Complaints Board for Public Procurement.

Sector experience includes waste, rail, medical devices, and defence.

Our assistance to contractors covers the entire process, from prequalification to the process related to the award of the contract. We also advise on the preparation and quality assurance of tenders and the commercial terms of the tender contract.

COMMERCIAL CONTRACTS
As part of our service offering, we also advise on all aspects of commercial contracts, including agency and distribution agreements as well as other types of cooperation agreements. Our in-depth cross-sector experience provides us with a thorough understanding of the commercial issues of a deal, which enables us to advise at a strategic level.

We have advised large international companies in relation to the implementation of new distribution structures in Denmark as well as represented companies in commercial contract negotiations covering all types of commercial agreements (including selective distribution and franchise agreements).

We also have broad experience in advising clients on compliance with competition rules covering subjects such as resale price maintenance, exclusive distribution, non-competition provisions and territorial/customer restrictions.

About

Mogens has worked for top-tier law firms in Denmark for more than 20 years, including three years as head of the office of one the major Danish law firms in Brussels, where he has specialised in advising international and domestic clients on all aspects of EU and Danish competition law. He is well-known in the marketplace for his insight into complex competition law matters, including in relation to contentious work.

Mogens has gained hands-on experience from the financial sector where he has been involved in setting up and managing an in-house legal department of a Danish based insurance company with significant cross-border activities, providing strategic advice to management, board of directors and other stakeholders on key issues, as well interacting with national and European regulators.

More recently, Mogens has been involved in advising on an on-going basis one of the biggest European players in digital payments on corporate and M&A related matters.  

Mogens has worked as an external lecturer of competition and marketing law at the University of Copenhagen.
